Terms of Use

These Terms of Use ("Terms") govern your access to and use of PowerMaps's web application and Android mobile application (together, the "Platform"). Please read them carefully.

In short PowerMaps is free to use for collecting and managing geospatial field data. You keep ownership of the data you collect; you grant us the right to host, process, and use it (including in aggregated or de-identified form) to run and improve the Platform, as described in our Privacy Policy. Please use the Platform lawfully and respect the privacy of people and property you photograph or record.

1. Acceptance of Terms

By creating an account, or by accessing or using the Platform in any way, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you are using the Platform on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

If you do not agree to these Terms, do not create an account or use the Platform.

2. The Service

PowerMaps is a geospatial data collection platform that allows organisations and their teams to define projects, collect field data (locations, categorised facility information, custom attributes, and photographs) via the web application or the Android mobile application, view that data on maps, and export or analyse it.

3. Eligibility & Accounts

  • You must be at least 18 years old, or the age of legal majority in your jurisdiction, and have the capacity to enter into a binding contract under the Contracts Act, 1960 (Act 25) of Ghana or equivalent law applicable to you.
  • You must provide accurate, current information when registering, and keep your account credentials confidential.
  • You are responsible for all activity that occurs under your account. Notify us immediately at the contact details in Section 17 if you suspect unauthorised access.
  • New self-registered accounts are created with the "Project Manager" role by default. Additional users you invite to a project join as "Collaborators," with access limited to the projects they are invited to.

4. License to Use the Platform

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your own or your organisation's internal field data collection and management purposes. This license does not permit you to sublicense, resell, or provide the Platform to third parties as a standalone service.

5. Your Data & Content

As between you and PowerMaps, you retain ownership of the data, photographs, and other content you or your team submit through the Platform ("Your Content").

By submitting Your Content, you grant PowerMaps a worldwide, royalty-free, non-exclusive license to host, store, reproduce, adapt, and process Your Content solely as necessary to:

  • operate, maintain, and provide the Platform's features to you and your project team;
  • secure, back up, and support the Platform; and
  • produce aggregated, anonymised, or de-identified data derived from Your Content, and use or share that de-identified data for research, analytics, product development, and other legitimate business or commercial purposes, as described in our Privacy Policy.

You are responsible for Your Content and confirm that you have the right to collect and submit it, including any consents needed under applicable law to photograph or record locations, facilities, or people.

6. Acceptable Use

When using the Platform, you agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable law, including Ghana's Cybersecurity Act, 2020 (Act 1038) and Electronic Transactions Act, 2008 (Act 772);
  • Attempt to gain unauthorised access to any account, system, or data, or interfere with the security or availability of the Platform;
  • Reverse engineer, decompile, or attempt to extract the source code of the Platform, except as permitted by law;
  • Scrape, harvest, or bulk-extract data from the Platform outside of the provided Export feature;
  • Upload content that is unlawful, infringing, defamatory, or that violates the privacy or rights of any third party (for example, photographing identifiable individuals without an appropriate basis to do so); or
  • Use the Platform to collect or process personal data of others in a way that would violate Act 843 or equivalent data protection law.

7. Intellectual Property

The Platform, including its software, design, branding, and underlying technology, is owned by PowerMaps or its licensors and is protected by intellectual property laws. Nothing in these Terms transfers any ownership in the Platform to you, other than the limited license granted in Section 4.

8. Free Service

The Platform is currently offered to you free of charge. We reserve the right to introduce paid plans, premium features, or usage limits in the future. If we do, we will provide reasonable advance notice, and continued use of any new paid features will be subject to additional terms presented to you at that time. Core functionality already provided to you will not be retroactively charged without your agreement.

9. Third-Party Services

The Platform uses third-party services, including Google reCAPTCHA and OpenStreetMap map data, to operate certain features. Your use of those features is also subject to the relevant third party's own terms. We are not responsible for the availability or accuracy of third-party services.

10. Disclaimers

The Platform is provided "as is" and "as available," without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the Platform will be uninterrupted, error-free, or completely secure, or that location data, maps, or any data collected through the Platform will be accurate or complete. Field data quality depends on how it is collected by you and your team.

11. Limitation of Liability

To the maximum extent permitted by the laws of Ghana, PowerMaps and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising from or related to your use of the Platform, even if advised of the possibility of such damages. Our total liability for any claim arising from these Terms or the Platform will not exceed the amount you paid us, if any, in the twelve (12) months preceding the claim.

Nothing in these Terms limits liability that cannot be excluded or limited under applicable Ghanaian law.

12. Indemnification

You agree to indemnify and hold PowerMaps harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Platform, Your Content, or your violation of these Terms or applicable law.

13. Suspension & Termination

We may suspend or terminate your access to the Platform, with or without notice, if we reasonably believe you have violated these Terms, misused the Platform, or if required by law. You may stop using the Platform and request account deletion at any time by contacting us. Sections of these Terms that by their nature should survive termination (including Sections 5, 7, 10, 11, 12, and 14) will continue to apply.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of Ghana, without regard to conflict-of-law principles. The courts of Ghana have exclusive jurisdiction over any dispute arising from these Terms or your use of the Platform, except that either party may first seek to resolve a dispute through good-faith negotiation or, where agreed, arbitration under the Alternative Dispute Resolution Act, 2010 (Act 798).

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through a notice within the Platform before the changes take effect. Continuing to use the Platform after changes take effect constitutes acceptance of the revised Terms.

16. General Provisions

  • Severability: if any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
  • Entire agreement: these Terms, together with our Privacy Policy, constitute the entire agreement between you and PowerMaps regarding the Platform.
  • No waiver: our failure to enforce any provision is not a waiver of our right to do so later.
  • Assignment: you may not assign these Terms without our consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
